These Terms and Conditions (“Terms”) govern access to and use of the EHQProcure website, supplier directory, supplier profiles, subscription services and related services operated by EMPOWERHQ BEEPROCURE (PTY) LTD, registration number 2025/967540/07, trading as EHQProcure (“EHQProcure”, “we”, “us” or “our”).

By accessing or using the EHQProcure website, registering an account, submitting a supplier listing, starting a free trial, purchasing a subscription or using any EHQProcure service, you agree to these Terms.

If you register or use EHQProcure on behalf of a company or other legal entity, you confirm that you are authorised to act on behalf of that entity.

1. ABOUT EHQPROCURE

EHQProcure is a South African supplier directory designed to assist businesses, procurement professionals and procurement departments in identifying suppliers and service providers that provide applicable B-BBEE compliance documentation.

EHQProcure provides a platform through which approved suppliers may create and maintain supplier profiles containing information about their businesses, products, services, contact information, B-BBEE information and supporting documentation.

EHQProcure operates as a directory and information platform.

EHQProcure does not act as an agent, representative, broker, employer, partner or contracting party between a listed supplier and any person or organisation that contacts or conducts business with that supplier.

Any transaction, agreement or business relationship entered into between a listed supplier and another party is concluded independently of EHQProcure.

2. SUPPLIER ELIGIBILITY

EHQProcure is intended for legitimate businesses that meet the applicable requirements for listing on the platform.

A supplier applying for a listing must provide the information and supporting documentation requested during the registration and verification process.

This may include a valid:

B-BBEE Certificate;
Sworn Affidavit;
Company information;
Contact information; and
Other supporting information reasonably required by EHQProcure.

Submission of the required B-BBEE documentation is mandatory where applicable to the supplier.

EHQProcure reserves the right to review, approve, reject, suspend or remove a supplier listing where the information or documentation provided is incomplete, inaccurate, misleading, expired, fraudulent or otherwise does not satisfy EHQProcure’s listing requirements.

3. SUPPLIER REGISTRATION AND ACCOUNTS

Suppliers may be required to create an account to access EHQProcure services.

Suppliers are responsible for:

Providing accurate registration information;
Keeping their account information current;
Maintaining the confidentiality and security of their login credentials;
Ensuring that persons accessing the account are properly authorised; and
Notifying EHQProcure of suspected unauthorised access to their account.

A supplier is responsible for activities conducted through its account unless otherwise required by applicable law.

EHQProcure may suspend access to an account where there are reasonable grounds to suspect fraud, unauthorised access, misuse or a breach of these Terms.

4. SUPPLIER INFORMATION

Suppliers are responsible for ensuring that all information submitted to EHQProcure is:

Accurate;
Complete;
Current;
Lawful;
Not misleading; and
Properly authorised for submission and publication.

Suppliers must update their information when material changes occur, including changes to contact information, services, company details or B-BBEE status.

EHQProcure may request updated information or supporting documentation at any time where reasonably necessary to maintain the integrity and accuracy of the directory.

5. B-BBEE DOCUMENTATION AND INTERNAL REVIEW

Suppliers may be required to submit a B-BBEE Certificate, Sworn Affidavit or other supporting documentation as part of the registration and listing process.

EHQProcure will review submitted documentation before approving the relevant supplier profile and B-BBEE information for publication.

EHQProcure’s review is intended to confirm that the required documentation has been provided and meets the platform’s listing requirements.

An EHQProcure approval, supplier listing or verification badge does not replace an official B-BBEE Certificate, Sworn Affidavit or independent verification process.

EHQProcure does not independently certify a supplier’s B-BBEE status and does not guarantee any particular B-BBEE level, ownership status, procurement recognition or procurement outcome.

Users of EHQProcure remain responsible for conducting any due diligence required for their own procurement, regulatory or compliance purposes.

6. PUBLICATION OF B-BBEE DOCUMENTATION

Suppliers acknowledge that approved B-BBEE Certificates, Sworn Affidavits and related B-BBEE information submitted for publication may be made publicly accessible and downloadable through the supplier’s EHQProcure profile once internally approved.

By submitting such documentation for a supplier listing, the supplier confirms that:

It is authorised to provide the documentation to EHQProcure;
The documentation may lawfully be displayed through the EHQProcure directory;
The information contained in the documentation is accurate to the supplier’s knowledge; and
EHQProcure may display and make the approved documentation available for download as part of the supplier profile.

Suppliers should not submit documentation for publication where they do not have the authority to make that documentation publicly available.

Personal information contained in submitted documentation will otherwise be handled in accordance with the EHQProcure Privacy Policy and applicable South African law.

7. SUPPLIER PROFILES

An approved supplier profile may contain information including:

Company name;
Company logo;
Company profile or description;
Products and services;
Business address;
Website address;
Contact information;
B-BBEE level and related information;
B-BBEE Certificate or Sworn Affidavit;
Certificate or affidavit expiry information; and
Other information relevant to the supplier listing.

EHQProcure may standardise, format or arrange supplier information to maintain consistency and usability across the directory, provided that this does not materially misrepresent the supplier.

8. PROFILE REVIEW AND ACTIVATION

EHQProcure aims to review and activate eligible supplier profiles within 48 hours of registration, provided that all required information, payment authorisation where applicable, and supporting documentation have been correctly submitted.

The 48-hour period is an operational target and is subject to successful verification and approval.

A profile may take longer to activate where:

Required information is missing;
B-BBEE documentation has not been provided;
Documentation requires clarification;
Information cannot reasonably be verified;
Payment or subscription information is incomplete;
Technical issues prevent publication; or
Additional compliance review is reasonably required.

EHQProcure may contact the supplier where additional information is required.

9. SEARCH AND DIRECTORY FUNCTIONALITY

EHQProcure may allow users to search for suppliers based on products, services, categories, business information, B-BBEE information and other available criteria.

Search results depend on information supplied by listed businesses and the functionality, categorisation and search systems used by EHQProcure.

EHQProcure does not guarantee:

That a particular supplier will appear in every relevant search;
A particular search-result position;
A particular number of profile views;
Enquiries;
Leads;
Sales; or
Business opportunities.

10. EHQ VERIFIED SUPPLIER BADGE

Approved suppliers may be eligible to receive an EHQ Verified Supplier Badge.

Where available, the badge may include QR-code or clickable verification functionality linking to the supplier’s EHQProcure profile.

The badge indicates that the supplier has been approved for listing based on the information and documentation available to EHQProcure at the relevant time.

The badge does not constitute:

An independent B-BBEE certification;
A guarantee of the supplier’s B-BBEE status beyond the documentation reviewed;
An endorsement or guarantee of the supplier’s products or services;
A guarantee of financial standing;
A guarantee of regulatory compliance; or
A guarantee of supplier performance.

EHQProcure may withdraw, deactivate or suspend a badge where a supplier no longer meets the platform’s requirements or where supporting documentation expires or becomes invalid.

11. SUBSCRIPTION AND LISTING FEES

EHQProcure currently offers the following standard supplier listing options:

Monthly Supplier Listing: R119 per month

Annual Supplier Listing: R1,428 per year

Promoted supplier listing options may be available at:

Promoted Monthly Listing: R250 per month

Promoted Annual Listing: R3,000 per year

EMPOWERHQ BEEPROCURE (PTY) LTD is not currently registered for Value Added Tax (VAT). Accordingly, VAT is not charged on the above fees.

EHQProcure may change its pricing from time to time.

Where a price change affects an existing recurring subscription, the revised price will be communicated before it applies to a future renewal.

12. ONE-MONTH FREE TRIAL

Where offered, eligible suppliers may receive a one-month free trial of the applicable EHQProcure subscription service.

The trial period begins on the date specified during registration.

Where the supplier authorises a recurring subscription during registration, the selected subscription will automatically convert to a paid subscription at the end of the one-month free trial unless cancelled before the applicable first billing date.

The applicable subscription price and billing frequency will be displayed during registration or checkout.

A supplier may cancel the subscription through the supplier portal before the trial ends to prevent the first recurring subscription charge.

EHQProcure may apply reasonable eligibility restrictions to free trials, including restricting repeated free trials for the same supplier, business or account.

13. RECURRING SUBSCRIPTIONS

Monthly and annual subscriptions are recurring subscription services unless otherwise expressly stated during checkout.

By purchasing or authorising a recurring subscription, the supplier authorises the applicable subscription fee to be charged through the appointed payment service provider at the agreed billing frequency until the subscription is cancelled.

Monthly subscriptions renew monthly.

Annual subscriptions renew annually.

The applicable price, billing frequency and subscription terms will be presented during the registration or checkout process.

14. PAYMENT PROCESSING

Payments are processed through PayFast or another authorised payment service provider appointed by EHQProcure.

EHQProcure does not directly store customers’ full payment-card details.

Payment service providers may process payment information in accordance with their own terms, security requirements and privacy policies.

All EHQProcure prices and payments are denominated in South African Rand (ZAR) unless expressly stated otherwise.

15. CANCELLATION

Suppliers may cancel an active recurring subscription through their EHQProcure supplier portal.

Cancellation of a monthly subscription will generally prevent the next monthly renewal charge and the subscription will remain active until the end of the current paid subscription period.

Cancellation of an annual subscription will generally prevent renewal at the end of the current annual subscription period.

Where a subscription is cancelled during a free trial and before the first applicable billing date, the subscription will not convert to a paid subscription.

Cancellation does not automatically entitle a supplier to a refund for an unused portion of a paid subscription period.

Refunds and any exceptions are governed by the EHQProcure Refund and Cancellation Policy and applicable South African law.

16. EFFECT OF CANCELLATION

When a paid subscription reaches the end of its applicable subscription period following cancellation, EHQProcure may deactivate or remove the supplier’s public listing and any associated promoted placement or verification functionality.

EHQProcure may retain information where reasonably required for legal, regulatory, accounting, fraud-prevention, dispute-resolution or legitimate business-record purposes, subject to applicable law and the EHQProcure Privacy Policy.

17. REFUNDS

Refund requests are governed by the EHQProcure Refund and Cancellation Policy.

EHQProcure does not automatically provide refunds for unused portions of subscription periods following voluntary cancellation.

Refunds may be considered in circumstances including:

Duplicate payments;
Incorrect charges;
Payments processed in error;
EHQProcure being unable to provide the paid service; or
Circumstances where a refund is required by applicable law.

Nothing in these Terms is intended to remove or restrict rights or remedies that cannot lawfully be excluded.

18. PROMOTED LISTINGS

Suppliers may purchase promoted listing services where available.

A promoted listing may provide increased visibility through designated promotional areas, enhanced placement, promotional carousels or other functionality made available by EHQProcure.

Purchasing a promoted listing does not guarantee any particular number of:

Views;
Website visits;
Enquiries;
Leads;
Sales;
Contracts; or
Business opportunities.

19. INTELLECTUAL PROPERTY

All intellectual property relating to the EHQProcure platform, including its branding, logos, website design, software, graphics and original content, remains the property of EMPOWERHQ BEEPROCURE (PTY) LTD or its applicable licensors unless otherwise stated.

Suppliers retain ownership of content and intellectual property they submit to EHQProcure.

By submitting content for publication, the supplier grants EHQProcure a non-exclusive licence to host, use, reproduce, display, format and publish that content for the purposes of operating, maintaining and promoting the EHQProcure platform and the supplier’s listing.

The supplier confirms that it has the necessary rights and permissions to provide such content to EHQProcure.

20. PROHIBITED CONTENT AND CONDUCT

Suppliers may not submit, publish or use EHQProcure to distribute content that:

Is false, fraudulent or materially misleading;
Infringes another person’s intellectual property rights;
Is unlawful;
Contains malicious software or harmful code;
Misrepresents B-BBEE status;
Misrepresents company ownership or compliance information;
Impersonates another person or business;
Is submitted without appropriate authority; or
Could reasonably compromise the security or integrity of the EHQProcure platform.

EHQProcure may remove prohibited content and suspend or terminate the relevant listing or account.

21. ACCURACY OF DIRECTORY INFORMATION

EHQProcure takes reasonable steps to maintain the integrity of its directory but relies substantially on information supplied by listed businesses and third-party documentation.

EHQProcure does not guarantee that all information displayed by a supplier remains complete, accurate or current at all times.

Users should conduct their own appropriate due diligence before entering into a transaction or commercial relationship with a listed supplier.

EHQProcure is not responsible for the pricing, quality, legality, availability, delivery or performance of products or services offered by listed suppliers.

22. RELATIONSHIPS BETWEEN USERS AND SUPPLIERS

Any enquiry, quotation, purchase, contract or other transaction between a user and a listed supplier is conducted directly between those parties.

EHQProcure is not a party to those transactions and does not control the terms on which suppliers provide their products or services.

Any dispute relating to products or services supplied by a listed supplier must ordinarily be resolved between the supplier and the relevant customer.

This does not prevent a user from reporting suspected fraudulent, misleading or inappropriate supplier conduct to EHQProcure for review.

23. AVAILABILITY OF THE PLATFORM

EHQProcure will take reasonable steps to maintain the availability and security of its platform.

However, uninterrupted or error-free availability cannot be guaranteed.

Access may occasionally be interrupted due to:

Maintenance;
System upgrades;
Technical failures;
Hosting or network outages;
Security incidents;
Events outside EHQProcure’s reasonable control; or
Other operational requirements.

EHQProcure will take reasonable steps to restore affected services where appropriate.

24. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, EHQProcure and EMPOWERHQ BEEPROCURE (PTY) LTD will not be liable for indirect, incidental, special or consequential losses arising from:

Use or inability to use the EHQProcure platform;
Reliance on supplier information displayed through the directory;
Dealings between users and listed suppliers;
Loss of business opportunities;
Supplier performance or non-performance; or
Temporary platform interruptions.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable South African law.

25. SUSPENSION OR TERMINATION

EHQProcure may suspend or terminate a supplier account, listing or related functionality where:

The supplier materially breaches these Terms;
Required B-BBEE documentation expires and is not updated;
Information supplied is materially inaccurate, fraudulent or misleading;
Payment obligations are not met;
The supplier engages in unlawful or abusive conduct;
The supplier misuses the EHQ Verified Supplier Badge;
Continued listing presents a material security, legal or reputational risk to the platform; or
EHQProcure is required to do so by law.

Where reasonably appropriate, EHQProcure may provide the supplier with an opportunity to correct the issue before permanent termination.

26. PRIVACY AND PERSONAL INFORMATION

EHQProcure processes personal information in accordance with its Privacy Policy and applicable South African data-protection legislation, including the Protection of Personal Information Act 4 of 2013 (POPIA).

The Privacy Policy explains, among other things:

What information EHQProcure collects;
Why it is collected;
How it is used;
When information may be publicly displayed;
When information may be shared with service providers;
How long information may be retained; and
The rights available to data subjects.

27. ELECTRONIC COMMUNICATIONS

By using EHQProcure, suppliers consent to receiving electronic communications reasonably necessary for administering their account and providing the service.

These may include:

Registration confirmations;
Verification requests;
Subscription notices;
Payment notifications;
Security communications;
Changes affecting the service; and
Other operational communications.

Marketing communications will be handled in accordance with applicable law and the EHQProcure Privacy Policy.

28. CHANGES TO THESE TERMS

EHQProcure may update these Terms from time to time to reflect changes to its services, business practices, pricing, technology or legal requirements.

Updated Terms will be published on the EHQProcure website and the “Last Updated” date will be amended.

Where a material change affects an existing paid or recurring subscription, EHQProcure will take reasonable steps to notify affected subscribers before the change becomes applicable where required.

29. GOVERNING LAW

These Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from these Terms or the use of EHQProcure will be subject to the applicable laws and jurisdiction of South Africa.

30. COUNTRY OF DOMICILE

For purposes of these Terms, payment processing and electronic transactions, the country of domicile of EMPOWERHQ BEEPROCURE (PTY) LTD, trading as EHQProcure, is the Republic of South Africa.
